CS8420 and CS4397 question

Hello!
Last night I have listed the datasheets of CS 8420 and 4397. I have read the 8x interpolation mode is allowed to use only when the input signal format is like in BB DAconverters. It means separated L/R data signals. I want to ask you, which solution is better?

1. Change sample rate frequency to 96kHz by CS8420 and use CS4397 in I2S mode
2. Use 44,1kHz sample rate frequency, change signal format to DIL/DIR/BCLK...(as in BB converters) and use CS4397 in 8x interpolatin mode.

Which solution gives better sonic results? I think the high level of oversampling will degrade the signal.Have you circuits for serial audio signal converter(Not BB DF1704 ...)?

How does the sample rate converter (and interpolator) work? For ex.: the input is 16bit,44,1 kHz. If I resample it to 24bit,96kHz the additional samples are calculated from incoming samples.Am I right or 24 bit means only fitting 8MSB bits by 0? Are the sample rate converter and the interpolator same?
