my local electronics shop (Jaycar) doesn't stock any 74HC4040, but they do have the CD4040.
The CD4040 is a 12-stage ripple carry binary counter and the 74HC404 is a 12-stage binary ripple counter?
Are these two pretty much the same?
And can i use the CD4040 instead of the 75HC4040 in a reclocking circuit?
oscillator will be 11.2896mhz then dropped down to 44.1khz and 2.82mhz.

Don't even bother thinking of it!
The CD4040 is of the old 15V CMOS familly. These are MUCH slower than the HC4040 part when run at 5V. There's no chance that a CD4040 would work at these speeds.
