I have found my old Philips CD104 in my basement which is in perfect condition. After reading several threads about quality of the CDM1 drive I was thinking about moding it for use as a CD Transport only.
I have tried to search for solutions but never found anyone actually being succesfull in implementing an S/PDIF interface.

I've also been watching that collective dream for several years. Everybody wants SPDIF from the SAA7011, and so far no-one seems to have got it.
How about modifying this player with another clock and with a NOS DAC within the case (I2S connection)?

There is no I2S inside, that's the whole "problem" with connecting another dac or an spdif chip. As it seems, nobody with the right skills has been bothered yet to make it. But this is a diy forum, if you want it, build it yourself. Or at least start trying.
As for connecting another dac, it's possible to connect a 1541 before the df. Not with I2S though.
So the solution for you seems to get a cdm304 mk2. Which is cdm1 with the newer chipset iirc.

Maybe, but then don't use the 7220 to create SPDIF. There are better ways.

CD104 works with 4.2336 MHz crystal oscillator (96xFs). CS84xx wait for 128xFs, 256xFs, 384xFs or 512xFs (5.6MHz, 11.2896MHz, 16.9344MHz...) clock frequency.
Or is there any other reasons?

So? 16.9344 divided by four is 4.2336, not so difficult. As for those CS chips, i don't know them too well. But would a philips (even 7220) or TI chip be any better?
I'm planning something with a CS8416 (receiver), let's see how that goes...
