I need a PLL which can derive an X-fs from a I2S WS signal !
There must be some standard chip to do this i guess ?!

One or two. What is X ?

I can think of three options.
1. A 768Fs VCXO, a Philips 74HC4046/7046/9046 PLL and a divider.
2. One of AD's DDS chips http://www.analog.com/en/subCat/0,2879,770%5F843%5F0%5F%5F0%5F,00.html
3. One of AD's PLL synthesizers.

I've built this circuit a few times, here's my recipe:
- ADF4001 PLL synthesizer from ADI
- 3rd order PLL filter with ~20Hz F1 frequency
- VCXO
- 12C508A PIC for configuring ADF4001, if there isn't a host controller around to do it.
Google for "Dean's Book", written by a National Semiconductor PLL designer. It's a great reference for designing this kind of stuff.
